1. About these terms
These terms of service ("Terms") govern all development work Telezoid ("we", "us") performs for you ("Client"). By engaging us — via signed proposal, email confirmation, or first payment — you agree to these Terms. If any provision here conflicts with a specific written proposal we've signed with you, the proposal wins.
2. Services
We provide Telegram bot development, AI chatbot builds, Telegram Mini App development, payment integration, channel automation, and related technical services. Exact scope for each engagement is defined in a written proposal or quote we send to you before work begins.
3. Quotes and pricing
- All prices are quoted in USD unless stated otherwise. Local-currency equivalents are provided for convenience only.
- Quotes are fixed for the defined scope. Any change in scope will be quoted separately before we begin the additional work.
- Quotes are valid for 30 days from issue.
4. Payment terms
- Standard terms are 50% upfront (before work begins) and 50% on delivery. Larger projects can be split into milestones by mutual agreement.
- Accepted payment methods: bank transfer (SWIFT / SEPA / ACH / UPI), PayPal, and cryptocurrency (USDT TRC-20 preferred). Indian clients may pay in INR.
- Invoices are due within 7 days of issue unless a different term is agreed in writing.
- Late payment may result in work being paused and, if unpaid beyond 30 days, cancellation of the engagement without refund of amounts already paid.
5. Deliverables and timelines
- Timelines quoted are our good-faith estimate based on the scope. We aim to hit them and usually do.
- Delays caused by the Client (late feedback, delayed access to systems, unresponsive stakeholders) extend the timeline by an equivalent period.
- On delivery you receive: working software, source code, deployment instructions, and inline documentation.
6. Intellectual property
- Upon full payment, you own the source code and any custom assets we built specifically for you.
- We retain rights to underlying general-purpose libraries, tools, and know-how we bring to the project. We grant you an unlimited, perpetual license to use these as part of your delivered software.
- Third-party components (open-source libraries, SDKs, LLM APIs) remain subject to their own licenses.
- Unless you request otherwise in writing, we may reference the general nature of work performed (e.g. "consultation booking bot for a US consulting firm") in our portfolio and case studies. Client names and confidential details will not be disclosed without consent.
7. Client responsibilities
- Provide accurate requirements, timely feedback, and reasonable access to systems needed for integration.
- Provide any API keys, credentials, and third-party account access required for the project.
- Be responsible for the legal and regulatory compliance of the business use of the delivered software (e.g. data protection, financial regulations in your jurisdiction).
8. Post-launch support & maintenance
- Each project includes a free post-launch support window (14–60 days depending on the tier purchased) covering bug fixes and small tweaks to delivered features.
- The support window does not cover new features, scope expansion, or issues caused by third-party API changes (which are handled under maintenance retainers if in place).
- Optional ongoing maintenance/hosting is available from $49/month and covers monitoring, uptime, API version updates, and priority bug fixes.
9. Third-party services
Delivered software may depend on third-party services (Telegram, OpenAI/Anthropic/Google LLM APIs, payment gateways, hosting providers, etc.). We are not responsible for outages, price changes, breaking API changes, or discontinuation of these services. Where such changes require code updates, we can quote the work under a maintenance plan.
10. Warranties
We warrant that delivered software will substantially conform to the agreed scope at the time of delivery. We do not warrant that the software will be error-free, uninterrupted, or fit for any specific business outcome. To the maximum extent permitted by law, all other warranties (express or implied) are disclaimed.
11. Limitation of liability
Our total liability for any claim arising out of or in connection with a project is limited to the total fees paid by the Client for that specific project in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
12. Confidentiality
We treat all non-public Client information (business plans, credentials, user data) as confidential and will not disclose it to third parties except as required to deliver the project or by law. Confidentiality obligations survive the end of the engagement.
13. Termination
- Either party may terminate for material breach not cured within 14 days of written notice.
- On termination, the Client pays for all work performed up to termination date. We deliver work completed to that point.
- Upfront payments cover work already scheduled and are non-refundable once work has begun, except at our discretion.
14. Governing law
These Terms are governed by the laws of India. Any dispute will be handled through good-faith negotiation first, and if unresolved, through the courts of India. International clients may propose arbitration or a mutually acceptable venue in writing.
15. Changes to these Terms
We may update these Terms from time to time. The version in effect on the date you engage us for a project applies to that project.
